1. Introduction

Welcome to SanityOps (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our services, including software development, consulting, and related services (collectively, the “Services”).

By engaging our Services, you agree to these Terms.

2. Services

We provide software consulting and development services as agreed upon in separate written agreements, proposals, or statements of work (“SOW”).

All deliverables, timelines, and pricing will be defined in those agreements.

3. Payment Terms

Clients agree to pay all fees as outlined in the applicable agreement or invoice.

• Payments are due within 30 days unless otherwise specified
• Late payments may incur interest or result in suspension of Services
• All fees are non-refundable unless otherwise stated in writing

4. Client Responsibilities

You agree to:

• Provide timely access to necessary information, systems, and personnel
• Ensure that all materials you provide do not infringe on third-party rights
• Review and approve deliverables in a timely manner

Delays caused by the client may impact timelines and costs.

5. Intellectual Property

Unless otherwise agreed in writing:

• Upon full payment, the client owns the final deliverables
• SanityOps retains ownership of pre-existing materials, tools, and frameworks
• SanityOps may reuse general knowledge, skills, and non-confidential techniques

6. Confidentiality

Both parties agree to keep confidential any non-public, proprietary information shared during the course of the engagement.

This obligation survives termination of the agreement.

7. Warranties & Disclaimers

We will perform Services in a professional and workmanlike manner.

However, Services and deliverables are provided “as is” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law:

• SanityOps shall not be liable for indirect, incidental, or consequential damages
• SanityOps’s total liability shall not exceed the amount paid by the client for the Services

9. Termination

Either party may terminate Services with written notice as defined in the applicable agreement.

Upon termination:

• The client must pay for all work completed up to the termination date
• Any outstanding invoices become immediately due

10. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

11. Changes to Terms

We may update these Terms from time to time. Continued use of our Services constitutes acceptance of the updated Terms.
